Terms of Service

These Terms of Service ("Terms") govern your access to and use of services provided by NightByte Labs ("we", "us", "our"). By engaging us or using our website, you agree to these Terms. Please read them carefully.

1. Engagement

Each engagement is described in a written Statement of Work (SOW) or order form that references and incorporates these Terms. The SOW controls for scope, fees, and timeline; these Terms control for everything else.

2. Fees and payment

Fees are invoiced as set out in the applicable SOW and are payable within fifteen (15) days of invoice date unless otherwise agreed. Late invoices accrue a 1.5% per-month service charge. All fees are exclusive of taxes. Billing questions: billing@nightbyte.cc.

3. Deliverables and IP

On full payment of fees for a given deliverable, we assign to you the intellectual property rights in that deliverable, except for our pre-existing tools, libraries, and methodologies, which we license to you on a non-exclusive, perpetual basis for the intended use.

4. Confidentiality

Each party will keep the other's confidential information confidential and use it only to perform under the SOW. This obligation survives termination for three (3) years.

5. Warranties and disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. Except as expressly stated, the services are provided "as is" and we disclaim all other warranties, express or implied.

6. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid under that engagement in the twelve (12) months preceding the claim. Neither party is liable for indirect, consequential, or punitive damages.

7. Termination

Either party may terminate an SOW for material breach not cured within thirty (30) days of written notice. On termination you pay for services rendered through the termination date.

8. Governing law

These Terms are governed by the laws of the Hashemite Kingdom of Jordan. Disputes will be resolved in the competent courts of Amman, subject to any mandatory rights under applicable consumer protection law in the client's jurisdiction.

9. Changes

We may update these Terms from time to time. Material changes will be communicated via email to active clients at least thirty (30) days before they take effect.
